Reports to: Executive, Corporate Services
Job Summary:
Responsible for managing the company secretariat and providing guidance and advice on corporate governance, ensuring that practices, policies and business activities carried out within the organization are in adherence with the country’s laws and regulations and also ensure that decisions of the board of directors are implemented.
Job Role
- Develop and oversee a system that maintains high standards of corporate governance and ensure that the Company complies with all relevant legal, regulatory best practice and statutory requirements.
- Organise and prepare the agenda and other documents for all meetings of the board of directors in consultation with the Board Chairmen of Scancom Plc and its subsidiaries and Committee chairpersons.
- Maintain records of proceedings for board meetings, committees and Annual General Meetings (AGMs).
- Provide Company Secretarial Services for Board meetings and ensure that legal requirements related to the meetings are fulfilled, as well as follow up on actions from meetings.
- Issue notice and agenda of board meetings to Board Members of the company board.
- Provide the Board with required guidance and advice in the discharge of their duties, responsibilities and powers.
- Contribute to the governance, risk and compliance training of Board members
- Responsible for arranging Executive Committee meetings and such other meetings as may be required from time to time and keeping track of minutes of meeting and write reports.
- Maintain statutory books, including registers of members, directors and secretaries.
- Be the link between the CEO and the Board Chairman for an effective functioning of the Scancom Plc Board and subsidiaries.
- Ensure proper documentation of all Excom and board meetings for ease of reference. Where feasible automate process.
- Handle correspondence, collate information and write reports, ensuring decisions made are communicated to the relevant company stakeholders.
- Liaise with external regulatory authorities and external stakeholders on behalf of the Boards.

Education
- A Degree in Law with qualifying certificate in law (i.e. Bar exams)
- Full ICSA Qualification is a must
Experience
- 8 years post qualification Commercial/Corporate Law experience in a large local law firm or the legal department/ Company secretarial role of a large company.
- Experience must include exposure in company Secretariat management
- Telco/Finance Experience an advantage.
Professional/Technical competencies:
- In-depth knowledge of corporate law and practices, telecoms laws, labour laws, land laws etc.

- Strong knowledge of Company secretarial practices
- Good record keeping
- Good writing and reporting skills
