The Legal Manager serves as the principal legal advisor for LMI Holdings, ensuring legal and regulatory compliance across all business operations within the conglomerate. This role involves overseeing corporate governance, contract negotiations, regulatory compliance, dispute resolution, and risk mitigation strategies. The Legal Manager will provide strategic counsel to the Group CEO and senior leadership while managing legal risks associated with land acquisitions, corporate transactions, taxation, labour relations, and other commercial activities
Essential Duties And Responsibilities
Legal Advisory & Compliance
- Provide strategic legal counsel to the Group CEO, Board, and senior management on all corporate legal matters.
- Ensure compliance with Ghanaian laws, international regulatory requirements, and industry
- Develop and implement policies and procedures to maintain corporate governance and regulatory adherence.
- Advise on tax obligations, financial regulations, and statutory requirements affecting business operations.
- Provide legal advice on the immigration status of expatriate personnel
- Assist in processing residence and work permits for expatriate personnel

Contract Management & Commercial Transactions
- Oversee the drafting, review, and negotiation of contracts, including joint ventures, mergers, acquisitions, service agreements, and financing transactions.
- Draft and negotiate various commercial agreements and international clients.
- Ensure enforceability and legal soundness of all contractual obligations while mitigating associated risks.
- Standardize contract management processes to enhance efficiency and reduce legal exposure.
- Lead legal due diligence for new business ventures, acquisitions, and strategic partnerships.
- Draft loan agreements, commercial agreements and other security documents for the group.
Land Acquisition & Litigation Management
- Provide legal oversight on land acquisition, property disputes, and lease agreements to safeguard company interests.
- Manage land litigation cases, working closely with external counsel to resolve disputes effectively.
- Liaise with government authorities, regulatory bodies, and traditional leaders on land-related legal matters.
- Ensure proper documentation, title registration, and compliance with local land laws.
Dispute Resolution & Risk Mitigation
- Handle dispute resolution strategies, including mediation, arbitration, and litigation management.
- Oversee the management of legal claims, representing the company in negotiations and settlements.
- Represent LMI Holdings in corporate and commercial litigation
- Develop and implement risk management frameworks to proactively address legal exposures.
- Liaise with external legal advisors, ensuring cost- effective and strategic legal representation.
Corporate Governance & Ethics
- Develop and enforce corporate governance policies in line with best practices and Ghanaian legal frameworks.
- Ensure compliance with the Companies Act, Data Protection Act, and other relevant legislations.
- Conduct legal audits to identify and address compliance gaps within subsidiaries and business units.
- Lead employee training programs on corporate ethics, anti-corruption policies, and regulatory compliance.
- Act as Company secretary for LMI Holdings
Stakeholder Engagement & Representation
- Represent the company in legal negotiations with regulators, financial institutions, and industry bodies.
- Act as the key liaison between LMI Holdings and external legal counsel, government agencies, and other stakeholders.
- Monitor legislative changes and provide recommendations to adapt business strategies accordingly.
- Support the Group CEO in external engagements requiring legal input, including industry forums and government relations.

Qualifications/Experience
- Bachelor of Laws (LL.B) degree; Master’s degree in Law (LL.M) or Business Administration (MBA) is an advantage.
- Barrister-at-Law (BL) and enrollment as a member of the Ghana Bar Association (GBA) is mandatory.
- Minimum of 10 years of legal experience, with at least 5 years in a managerial or leadership role.
- Strong experience in corporate law, contract negotiations, land litigation, compliance, and tax law.
- Proven track record of advising multinational companies or large conglomerates.
- Knowledge of Ghanaian and international business law, governance regulations, and industry-specific legal requirements.
- Experience in dispute resolution, arbitration, and litigation management.
